Important Informations Before Purchase
Basic Product Handling Agreement

Basement Factory Design Co., Ltd. (hereinafter referred to as the "Manufacturer") and the sales destinations of the Manufacturer (hereinafter referred to as the "Applicant Salon") have mutually agreed to the basic provisions regarding the handling of CARE PRO related products (hereinafter referred to as the "Product") to be marketed by the Manufacturer upon understanding the philosophy of the Manufacturer, and hereby enter into the following basic contract (hereinafter referred to as the "Agreement"):

Article 1 (Purpose)

The Applicant Salon shall procure the Product through the Manufacturer and aims to handle it exclusively within its own salons in the country as outlined below. Only when this Agreement is executed shall the Product be covered by the Manufacturer's warranty and after-sales service.

1)The Applicant Salon should fully understand how to use the Product as a business and use it during treatment.

Article 2 (Restriction on Sale)

The Applicant Salon shall not sell or export the Product abroad, nor use it for any commercial purposes outside the domestic market.

Article 3 (Restrictions on Use of Trademarks and Copyrighted Works)

The Applicant Salon is permitted to use the Product and the trademarks and copyrighted works owned by the Manufacturer provided they comply with the following provisions:

1)For any media use, the Applicant Salon must submit an application via the Manufacturer's website before using the Manufacturer’s trademarks and copyrighted works.

2)If the Applicant Salon wishes to receive results of the effectiveness verification of the Product held by the Manufacturer, it shall apply in advance to the Manufacturer for such provision. Moreover, when using the trademarks and copyrighted works owned by the Manufacturer for the use of the verification results provided, the Manufacturer shall apply for permission in advance, and when preparing materials using the verification results, the Manufacturer shall obtain prior approval regarding the content of the materials and handle them in accordance with the Manufacturer's instructions and corrections.

3)When CARE PRO® is introduced into the salon menu, the use of the Manufacturer’s trademarks and copyrighted works, as long as it complies with the Manufacturer’s usage regulations, is permitted solely for display on the salon menu in any media.

4)The Manufacturer may revoke the permission to use its trademarks and copyrighted works if the Applicant Salon fails to comply with the usage regulations set by the Manufacturer. In addition, the Manufacturer may at any time amend these usage conditions, and will notify the Applicant Salon in advance of any such changes.

5)The Applicant Salon shall not use any trademarks other than those authorized by the Manufacturer, nor apply for trademark registration of any marks similar to those owned by the Manufacturer.

Article 4 (Compliance)

The Applicant Salon shall ensure compliance with all relevant laws and regulations when handling and selling the Product, and must describe it accurately using expressions based on the content of the Manufacturer’s website, brochures, and videos.

Article 5 (Product Quality Warranty)

Should any defects arise in the Product, the Manufacturer has the option to either replace or repair the Product free of charge, provided that the claim is made within six months of delivery by the Applicant Salon. However, the Manufacturer shall not be liable under the following circumstances

1)If registration of the product is not completed within 30 days from the purchase date as indicated on the receipt.

2)If the Products are purchased from unauthorized online sales platforms.

3)If defects result from misuse, unauthorized repairs, or modifications.

4)If defects result from normal wear and tear or damage to the product itself.

5)If defects result from accidents such as falls or submersion after purchase.

6)If defects result from natural disasters, pollution, or abnormal electrical conditions.

7)If defects are caused by the malfunction of other equipment connected to the Products.

8)If defects occur in an environment not conducive to typical salon usage.

9)If the claim lacks any of the required documents such as the dedicated charging stand, AC adapter, this document, or the purchase receipt.

10)If the purchase receipt does not detail the date of purchase, customer name, or retailer.

Article 6 (Confidentiality)

The Applicant Salon must not disclose, divulge, or use for any purpose other than the purpose of this Agreement any and all technical, business, or other business-related information of the Manufacturer obtained in connection with this Agreement (hereinafter referred to as the "Confidential Information") to a third party even after the termination of this Agreement without the prior written approval of the Manufacturer. Provided, however, that this shall not apply to information that falls under any of the following:

1)Information that was already in the lawful possession at the time of disclosure.

2)Information already in the public domain at the time of disclosure;

3)Information that has become publicly known after disclosure for no reason attributable to the receiving party.

4)Information disclosed by a duly authorized third party without any obligation of confidentiality.

5)Information independently obtained or created by the Applicant Salon after disclosure irrespective of the confidential information of the Manufacturer.

Article 7 (Exclusion of Relations with Anti-Social Forces)

The Manufacturer and the Applicant Salon, at the time of execution of this Agreement, represent that they do not fall under any of the following, and affirm that they will not fall under any of the following in the future:

1)Being an organized crime group, a member of an organized crime group, a person who has not yet passed five years from the time he/she ceased to be a member of an organized crime group, a quasi-member of an organized crime group, a company affiliated with an organized crime group, a general meeting house, a social movement logo, a special intelligent organized crime group, or any other person equivalent thereto (hereinafter collectively referred to as "anti-social forces"), or being an anti-social force.

2)Having a relationship in which anti-social forces are found to have control over management.

3)The representative, responsible person or a person who is substantially involved in the management is an anti-social force.

4)The juridical person has a relationship that is found to unjustly utilize anti-social forces, such as for the purpose of acquiring an illicit gain for himself/herself or a third party, or for the purpose of inflicting damage on a third party.

5)Having a relationship that is found to be benefiting anti-social forces, such as providing funds, etc. to anti-social forces or facilitating them.

6)Have a socially reprehensible relationship, such as having a close relationship with antisocial forces.

7)Unjustifiable demands that go beyond violent or legal responsibilities by himself or through a third party.

8)Making intimidating statements or behavior or committing acts of violence in connection with transactions by oneself or by using a third party;

9)Disseminating rumors, or using fraudulent means or force, by himself/herself or a third party, damaging the credibility of the other party or interfering with the business of the other party;

Article 8 (Breach of Contract)

The Applicant Salon is responsible for compliance with the performance of this Agreement as follows:

1)The Manufacturer shall remind the Applicant Salon of performance if it is deemed that the Applicant Salon does not comply with this Agreement.

2)If the Applicant Salon continues to be in breach of this Agreement even after the notice to the Applicant Salon set forth in the preceding item, the Manufacturer may request the Applicant Salon to suspend the use of the Product. In such cases, the Manufacturer may restrict the release of the Product to the Applicant Salon.

3)Notwithstanding the preceding item, in the event the Manufacturer acknowledges that the breach of this Agreement by the Applicant Salon has been resolved, the Manufacturer shall dissolve the shipment restrictions and the prohibition of sales set forth in the preceding item.

Article 9 (Termination of Agreement)

In the event that the breach of this Agreement by the Applicant Salon is not resolved, the Manufacturer may terminate the executed Basic Product Handling Agreement (including related agreements), which is in effect during the validity period, between the Manufacturer and the Applicant Salon.

Article 10 (Compensation for Damages)

The parties hereto shall be liable to compensate the other party for damages (including reasonable attorneys' fees) to the extent that there is a reasonable causal relationship with the other party in the event of damages to the other party in breach of this Agreement. If the Applicant Salon causes damage to the Manufacturer in violation of this Agreement, the Applicant Salon shall be liable to compensate the Manufacturer for such damage. Additionally, if a third party suffers damages due to a defect in the product delivered by the Manufacturer, and another party compensates the third party for the damages suffered, the Manufacturer shall compensate such other party for the compensation amount to the extent that there is a reasonable causal relation with the defect. However, the Manufacturer shall not be liable if the defect is caused by any other party other than the Manufacturer

Article 11 (Choice of Law)

All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law.

Article 12 (Agreed Jurisdiction)

Any and all disputes pertaining to this Agreement shall be settled in the Tokyo District Court, Japan, as the court of exclusive jurisdiction of the first instance.

Conclusion of the Agreement

This Agreement shall be considered effectively executed at the moment the 'Basic Product Handling Agreement' checkbox on the order page is checked to indicate agreement

Note on Previous Agreements

Furthermore, any Basic Product Handling Agreements previously concluded between the Manufacturer and the Applicant Salon prior to this Agreement shall be deemed null and void as of the date of execution of this Agreement.
